RESIDENT and GUARANTOR TERMS OF USE AGREEMENT

THESE TERMS OF USE CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS AND DUTIES SO YOU SHOULD READ THEM CAREFULLY.

By using moveinsuccess.com, you agree to the following Resident Licensee Terms of Use Agreement (“Agreement”). If you do not agree to these Terms of Use, you should not use moveinsuccess.com. At times, you may be asked to accept additional terms and conditions. This may happen, for instance, when you use certain services on MoveInSuccess.com. Unless otherwise stated, such terms are incorporated by reference into this Agreement.

MoveInSuccess.com (MIS) which is owned by Key Success Company herein referred to as “Licensor” or “KS”), a Colorado corporation (collectively with its corporate affiliates and including all features, content and applications available on the website, MoveInSuccess.com,) is an interactive website that may allow you to, but not limited to the use of some or all of our electronic tutorial content ("Content"), utilize our services to assist in obtaining renters insurance, provide e-sign parent / guardian lease guarantees and messaging services (“Services”) by and between you (“Resident ”) or parent / guardian / third party (“Guarantor”) and a property ownership, management company, university, college, client or other (“Licensee”). There may be additional Content and Services not listed herein that you may also be asked to provide, utilize or perform.

By using our website MIS regardless of whether you have created your own login or registered having been invited to register with MIS, you agree to the following terms of use ("Agreement”) and to our Privacy Policy, which may be accessed at MoveInSuccess.com. We may modify or amend this Agreement at any time, without notice so you should bookmark this page and check it often. By using MIS, you agree to any such modifications or amendments in the future.

Eligibility for Use: In order to use our website, you must be fully able and competent to enter into this Agreement, be over the age of thirteen (13), and if you are under eighteen (18) years of age, you must have permission from your parent or legal guardian. In addition, you may not use our website if any applicable law or regulation prohibits it. Any information you provide to us must be accurate and truthful, and you agree to update it as needed to ensure that it remains current. If you do not meet these conditions of use, you are in violation of this Agreement. Resident and Guarantor use is tied to and may be limited to your lease term as set in the MIS site by a Licensee.

Third Party Websites: While using MIS, you may be able to access third party websites through advertisements or other links. KS's approval or allowance of such links indicates no endorsement by us of such third party's website, services, products, policies or other information. KS is not responsible for, and cannot control, the content of those third party websites. You should contact those third parties directly for information on their terms of use, privacy policy, and other relevant information. By using MIS, you agree that you will not attempt to hold MIS, KS or Licensee responsible or liable for the content of or promises made by such third party websites.

User Account: In order to access certain features on MIS, for valuable consideration paid to MIS and / or KS, you must create a user account (a "User Account"). If you choose to create such a User Account, you are responsible for keeping your password a secret and ensuring that others do not learn your identity through your use of MIS. KS and Licensee are not responsible for your use of MIS, and by using MIS, you take full responsibility for your actions relating to your use of MIS. You agree to notify us immediately if you suspect or learn of any unauthorized use of your User Account. You are encouraged to immediately change your password if you suspect that someone else has access to your User Account. You also agree that you will not use another person's User Account or attempt to impersonate another user of MIS (a "User") or any other third party.

Limited License to Use of MIS: MIS and all Content on MIS is the property KS, with all rights reserved. You may not copy, modify, distribute, reproduce, sell, post, download or otherwise use such Content in any form or in any medium, in whole or in part, without the prior written permission of MIS. If you meet the eligibility requirements above, MIS hereby grants you a non-exclusive, limited license to access and view the MIS Content in accordance with this Agreement and in connection therewith, to use MIS as intended through its normal functionality and to stream MIS Content and Services. This limited license only applies to your non-commercial, personal use. You may not use any MIS Content in any publications or compilations. Nor may you repost the Content on the Internet. The limited license granted in this section will terminate if you violate any of the terms of this Agreement. In addition, MIS reserves the right to terminate this license at any time, for any reason or for no reason, and with or without cause. Unless otherwise stated, this limited non-exclusive license does not grant you any intellectual property rights in relation to the MIS Content or Services.

Conditions of Use: In addition to any other requirements in this Agreement, by accessing or otherwise using MIS you agree:

(1) You will not modify any portion of MIS or its related technologies. You will not disable, circumvent, or interfere with the security features MIS provides, or the features that limit copying or use of Content or Services on MIS.

(2) You will not use MIS, the Content, or Services on MIS for any commercial purpose (including any purpose relating to advertising).

(3) You will not access MIS through the use of an automated system, including, but not limited to, robots, spiders, data mining, or similar methods; provided, however, that commercial search engines may use such technology solely in connection with the creation of publicly available search indexes.

(4) You will not solicit, directly or indirectly, the Resident, Guarantors or Client Licensees of MIS in connection with any commercial purpose.

(5) You will comply with this Agreement and all applicable laws and regulations associated with the use of MIS.

(6) MIS may modify, alter or discontinue Content and Services, or any portion thereof, at any time without notice.

(7) You acknowledge that all of the Content on MIS is owned by or licensed by MIS. This includes, without limitation, all trademarks, logos, trade names, service marks, text, graphics, videos, music, and other Content and Services. You will comply will all applicable copyright, intellectual property, and other laws and regulations regarding such Content.

(8) You will not use MIS for any unlawful or tortuous purpose.

Your User Provided Information: Once you register with MIS, you acquire the ability to view Content and utilize Services on MIS. When you take advantage of these capabilities, the information that you provide becomes available to Client Licensees and the confidentiality of such Content and Services cannot be guaranteed by MIS. Information provided to satisfy pending tasks required by the Client Licensee and information provided by Resident, will be shared by the parties. Information regarding Resident and Guarantor addresses, phone numbers, lease terms and emails will be shared by and between Client Licensee, Resident(s) and Guarantor(s). Drivers’ license and social security numbers, if requested by Client Licensee and provided by Guarantors will be shared with Client Licensee and KS.

Termination of User Account: MIS reserves the right to terminate your User Account or delete your User Content for any reason at any time and without notice.

Disputes with Other Users: All disputes you may have with other Users or Client Licensors of MIS are solely your responsibility. We may monitor your interactions with Client Licensors, but you agree that we have no obligation to become involved in or moderate any disputes with other Users or Client Licensors that you may have.

Disclaimer of Warranty; Limitation of Liability. MIS AND THE CONTENT ON MIS, INCLUDING, WITHOUT LIMITATION, GENERAL INFORMATION, SOFTWARE, PRODUCTS, CONTENT AND SERVICES ASSOCIATED WITH THE FOREGOING ARE PROVIDED "AS IS." KS DISCLAIMS ANY WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, AS TO ANY MATTER WHATSOEVER RELATING TO MIS, KS AND ANY INFORMATION, SOFTWARE, PRODUCTS, CONTENT AND SERVICES PROVIDED HEREIN, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT. FURTHER, KS DOES NOT GUARANTY THAT RESIDENTS WILL ACCESS, USE OR COMPLETE THE CONTENT OR SERVICES, OR THAT IF ACCESSED, USED OR COMPLETED, THE CONTENT OR SERVICES WILL HAVE ANY EFFECT ON RESIDENTS’ BEHAVIOR. USE OF MIS AND ANY RELATED SOFTWARE, PRODUCTS, CONTENT OR SERVICES IS AT YOUR OWN RISK.

KS AND LICENSEE ARE NOT LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OR OTHER INJURY ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF MIS OR ANY RELATED SOFTWARE, PRODUCTS, CONTENT OR SERVICES OR WITH THE DELAY OR INABILITY TO USE MIS, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, CONTENT AND SERVICES OBTAINED THROUGH THIS WEB SITE, WHETHER RESULTING IN WHOLE OR IN PART, FROM BREACH OF CONTRACT, TORTIOUS BEHAVIOR, NEGLIGENCE, STRICT LIABILTY OR OTHERWISE, EVEN IF KS HAD BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

Indemnification: You agree to indemnify and hold harmless Licensor and its Client Licensees and its affiliates, officers, directors, shareholders, employees and agents (collectively, the “Licensor Indemnified Parties”), from and against any and all actions, causes of action, claims, demands, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising out of or related to your use of MIS, your violation of the rights of any third party (including, without limitation, intellectual property and privacy rights), your violation of this Agreement, and any claim that our User Content or Services harmed a third party. Your obligation to indemnify KS, the Licensor Indemnified Parties and Client Licensees will survive termination of this Agreement and your use of MIS.

Disclosure of Business Relationship: KS and our Client Licensees may have a business relationship that may include a sharing of revenue. This relationship, if any, helps to compensate the parties for the time, effort and professional involvement by both MIS/KS and Client Licensee(s) in providing the Content and Services on MIS.

Legal Action for Violation: If you violate any of these Terms of Use or use MIS for any illegal or unauthorized purpose, Key Success Company reserves the right to initiate appropriate legal action against you and can terminate this Agreement immediately, in addition to any other remedies it may have.

Governing Law, Jurisdiction and Venue: This Agreement, Privacy Policy and all other related agreements shall be governed by and construed and enforced in accordance with the laws of the State of Colorado applicable to contracts made and to be performed wholly within such state. The District Court of the City and County of Broomfield, State of Colorado shall have exclusive jurisdiction, including in personam jurisdiction, and shall be the exclusive venue for any and all controversies and claims arising out of or relating to this Agreement.

Assignment: You may not assign or delegate any of your rights or obligations under Agreement. MIS may assign this Agreement at its sole discretion, without notice, and at any time.

Entire Agreement: This Agreement, together with all related agreements, constitute the entire agreement between Resident, Guarantor, Licensee and KS with respect to the matters covered by them and supersede any prior understanding or agreements, oral or written, with respect thereto.

Costs and Attorneys' Fees: If you or MIS commences any action or proceeding against the other to enforce this Agreement, or to recover damages or obtain injunctive or other relief resulting from the alleged breach of any provision of this Agreement, the prevailing party shall be entitled to recover all reasonable costs and expenses, including without limitation reasonable attorneys' fees.

Captions: All captions, titles, headings, and divisions in this Agreement are for purposes of convenience and reference only, and shall not be construed to limit or affect the interpretation of the Terms of Use.

Successors and Assigns: The provisions of this Agreement shall inure to the benefit of, and be binding on, you and MIS; and yours and its successors, assigns, employees, legal representatives, heirs, distributes, and transferees, by operation of law, whether or not any such person shall become a party to this Agreement or have agreed in writing to join or be bound by the terms and conditions of these Agreement.

Waiver and Severability. No waiver of any default or breach of any agreement or provision herein contained shall be deemed a waiver of any other default or breach thereof or of any other agreement or provision herein contained. If any provision or portion of a provision of this Agreement is declared void and/or unenforceable, such provision or portion shall be deemed severed from this Agreement, which shall otherwise remain in full force and effect.

The parties do hereby mutually agree to the aforementioned terms of this agreement.

LICENSEE TERMS OF USE AGREEMENT

(Property Owner, Management Company, University)

This may happen, for instance, when you use certain services on moveinsuccess.com. Unless otherwise stated, such terms are incorporated by reference into these agreements.

THESE TERMS OF USE CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS AND DUTIES SO YOU SHOULD READ THEM CAREFULLY.

This Licensee Terms of Use Agreement (“Agreement”) is by and between Key Success Company, a Colorado corporation dba MoveInSuccess.com herein “Licensor” and the client who is herein referred to as “Licensee”. Licensee also creates its own users which are herein referred to as “Client Users”. Licensor makes available features, content and service applications on the website, MoveInSuccess.com ("MIS"). MIS is an interactive website that allows Licensee’s residential tenants (“Residents”) to view electronic video tutorials (“Content”), utilize electronic services to assist in obtaining renters insurance, provide e-sign parent / guardian guarantees and messaging services (herein collective referred to as “Services”). This Content and Services may include but are not limited to the items herein described. Licensor may amend, replace or terminate Content and Services without notice. Licensee, by execution of this agreement and by using our website MIS, agrees to the following terms listed below and to our Privacy Policy, which may be accessed at MIS. Licensor may modify or amend the Licensee Terms of Use and Privacy Policy on MIS from time to time, without prior notice.

Conditions of Use: For valuable consideration, as summarized in MIS Client License Agreement, Licensor agrees to setup Licensee and otherwise allow Licensee to have access to the Property Managers section of the MIS website. Licensee understands and agrees that in order to obtain full utilization of the content and services at MIS, they must input and otherwise setup their offices (if any), properties (including buildings & units), Residents and other required information under the Property Managers Your Account section of MIS in order to participate in Content and Services.

Restrictions on Use: This site is owned and operated by Key Success Company (hereinafter "KS"). No material from any web site owned, operated, licensed, or controlled by KS may be copied, reproduced, republished, posted, transmitted, or distributed in any way. Licensee agrees to keep intact all copyright, trademark and other proprietary notices. Modification of the materials or use of the Content or Services for any other purpose is a violation of KS intellectual property rights. For purposes of these terms, the use of any such material on any other web site or electronic network medium is prohibited. All trademarks, service marks, and trade names are property of KS. You agree that all the trademarks have great value and good will and, in the event of a breach of this section, injury to KS would be irreparable and, therefore, injunctive relief to protect KS’s interests would be appropriate (without limitation as to other damages which might be allowed by law).

Licensee is allowed to download certain reports for use in the management of property. These reports are from the reporting section only of MIS. These reports are provided for this purpose. Any additional downloads of anything from the site, the software, including any files, images, or data accompanying the software (collectively, the "software") are licensed to you by KS for the limited use described herein. KS transfers no right, title or interest to the software to Licensee. KS retains full and complete title to the software, and all intellectual property rights therein. You may not redistribute, sell, decode, reverse engineer, disassemble, or otherwise reduce the software to a human-perceivable form.

Licensee Resident Provided Information: Once offices (if any), properties (including buildings & units), Resident information and Resident setups are completed at MIS by Licensee, Licensee will acquire the ability to view content and utilize Services. As a byproduct of this process, Licensee will obtain confidential information from Residents by using MIS. The confidential information gathered by MIS is available to Licensee and Client Users and is your responsibility to safeguard and keep confidential.

Third Party Websites: While using MIS, you may be able to access third party websites through advertisements or other links. MIS's approval or allowance of such links indicates no endorsement by us of such third party's website, services, products, policies or other information. MIS is not responsible for, and cannot control, the content of those third party websites. You should contact those third parties directly for information on their terms of use, privacy policy, and other relevant information. By using MIS, you agree that you will not attempt to hold MIS and / or Key Success Company responsible or liable for the content of such third party websites.

User Account: In order to access certain features on MIS, for valuable consideration paid to MIS, you must create a user account (a "User Account"). If you choose to create such a User Account, you are responsible for keeping your password a secret and ensuring that others do not learn your identity through your use of MIS. We are not responsible for your use of MIS, and by using MIS, Licensee takes full responsibility for your actions relating to your use of MIS. You agree to notify us immediately if you suspect or learn of any unauthorized use of your User Account. You also agree that you will not use another person's User Account or attempt to impersonate another user of MIS (a "User") or any other third party.

Service and License Fees: Charges listed in MIS Client Licensee Agreement are charged for the license fee time period and are subject to change at renewal.

Customer Support: Licensor agrees to provide reasonable and professional customer support to Licensee Monday through Friday, 9 AM to 4 PM, MST, except holidays.

Chase and Message Email: Licensor agrees to use reasonable efforts to provide chase emails reminding Residents that video content, and / or Services that are requested by Licensee have not yet completed by Resident. Licensor cannot guarantee that these Chase or Message emails arrive in the Residents’ inbox.

Disclaimer of Warranty; Limitation of Liability: LICENSOR AND THE CONTENT ON MIS, GENERAL INFORMATION, SOFTWARE, PRODUCTS AND SERVICES ASSOCIATED WITH IT ARE PROVIDED "AS IS". MIS DISCLAIMS ANY WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, AS TO ANY MATTER WHATSOEVER RELATING TO MIS AND ANY INFORMATION, SOFTWARE, PRODUCTS AND SERVICES PROVIDED HEREIN, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT. USE OF MIS AND ANY RELATED SOFTWARE, PRODUCTS OR SERVICES IS AT YOUR OWN RISK. MIS IS NOT LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OR OTHER INJURY ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF MIS OR ANY RELATED SOFTWARE, PRODUCTS OR SERVICES OR WITH THE DELAY OR INABILITY TO USE MIS, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS AND SERVICES OBTAINED THROUGH THIS WEB SITE, WHETHER RESULTING IN WHOLE OR IN PART, FROM BREACH OF CONTRACT, TORTIOUS BEHAVIOR, NEGLIGENCE, STRICT LIABILTY OR OTHERWISE, EVEN IF MIS HAD BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. Indemnification: Licensee agrees to indemnify and hold harmless Licensor, MIS and its affiliates, officers, directors, employees and agents, from and against any and all actions, causes of action, claims, demands, costs, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising out of or related to your use of MIS, your violation of the rights of any third party (including, without limitation, intellectual property and privacy rights), your violation of this Agreement, and any claim that your actions harmed a third party or Residents. Your obligation to indemnify Licensor, MIS and its employees and agents will survive termination of this Agreement, the Terms of Use, Privacy Policy and your use of MIS. Licensee further indemnifies Licensor against the accidental or purposeful release, publication or otherwise distribution of confidential information including, but not limited to driver license, social security and other personal information that may be collected and or maintained by MIS.

Legal Action for Violation: If you violate any of these terms or use MIS for any illegal or unauthorized purpose, Licensor, reserves the right to initiate appropriate legal action against you.

Governing Law, Jurisdiction and Venue: This Agreement, Terms of Use and Privacy Policy shall be governed by and construed and enforced in accordance with the laws of the State of Colorado applicable to contracts made and to be performed wholly within such state. The courts of the State of Colorado shall have exclusive jurisdiction, including in personam jurisdiction, and shall be the exclusive venue for any and all controversies and claims arising out of or relating to this Agreement.

Assignment: Licensee may not assign, delegate rights or obligations under these terms. Licensor may assign this Agreement at its sole discretion, without notice, and at any time.

Entire Agreement: This Agreement constitutes the entire agreement between Licensee and Licensor with respect to the matters covered by them and supersedes any prior understanding or agreement, either oral or written, with respect hereto.

Costs and Attorneys' Fees: If Licensee or Licensor commences any action or proceeding against the other to enforce this Agreement, or to recover damages or obtain injunctive or other relief resulting from the alleged breach of any provision of this Agreement, the prevailing party shall be entitled to recover all reasonable costs and expenses, including without limitation reasonable attorneys' fees.

Successors and Assigns: The provisions of these Client Licensee Agreement shall inure to the benefit of, and be binding on, you and MIS; and yours and its successors, assigns, employees, legal representatives, heirs, distributees, and transferees, by operation of law, whether or not any such person shall become a party to these Terms of Use or have agreed in writing to join or be bound by the terms and conditions of these Client Licensee Agreement.

Termination of User Account: MIS reserves the right to terminate your User Account or delete your User Content for any reason at any time and without notice.

Disclosure of Business Relationship: KS and Licensees may have a business relationship that may include a sharing of revenue. This relationship, if any, helps to compensate the parties for the time, effort and professional involvement by both MIS/KS and Client Licensee(s) in providing the Content and Services on MIS.
